How to End an Agency Relationship and Plan the Handoff
End an agency relationship by reviewing the agreement, confirming your authority and notice requirements, and planning the operational handoff before the ordinary termination date. Identify who will control accounts, maintain live work and receive the assets your business is entitled to use.

This guide provides an operational checklist. It is not legal advice or a substitute for reviewing the actual contract. Termination rights, payment obligations and data requirements depend on the agreement, jurisdiction and circumstances. Obtain qualified advice for a disputed or high-risk exit.
Review the agreement before sending notice.
Read the main agreement, statement of work, amendments and incorporated terms. Check the minimum term, renewal mechanism, notice period, delivery method and required recipient.
Distinguish ending for convenience from alleging breach. A breach-based termination may have requirements for notice and an opportunity to cure. Do not assume that dissatisfaction creates an immediate right to stop payment or end the contract.
Have an authorized person confirm the effective date and expected financial obligations. Include outstanding invoices, committed third-party costs and any agreed transition support. The agency-contract guide identifies issues to discuss with counsel.
Choose who maintains the work during transition.
List activity that must continue, including live advertising, scheduled communications, website support and incident handling. Name the owner for each part through the transition.
Agree on what the outgoing agency may change after notice. It may need to maintain campaigns while avoiding new commitments that extend beyond the engagement.
If another agency is taking over, establish when it can access the systems and what work it is authorized to perform. Avoid having two teams make uncoordinated changes to the same account.
Verify account control and platform dependencies.
Create an inventory of domains, advertising accounts, analytics, commerce systems, CRM, repositories and reporting tools. Confirm the account holder, administrator, billing owner and recovery arrangements.
For Google Ads, unlinking a manager can affect shared audiences and cross-account conversion tracking. If the departing manager is the paying manager for monthly invoicing, Google says the billing setup must be changed beforehand to keep ads serving. Review Google's explanation of unlinking effects.
Use the current platform instructions and appropriate administrative access when removing the relationship. Google's unlinking instructions explain its access requirements. Other platforms have their own rules, so do not assume that a process which works for one account applies everywhere.
For an ordinary exit, verify replacement access and continuity before removing necessary access. A suspected compromise requires prompt action led by the appropriate security owner.
Distinguish possession from rights to use the work.
Request the deliverables, source files, documentation and records covered by the agreement. Identify reusable agency tools and third-party assets separately.
Having a copy of a file does not settle copyright ownership. U.S. copyright law distinguishes ownership of a material copy from ownership of copyright, and transfers of copyright ownership generally require a signed writing. Have counsel check assignments, licenses and subcontractor contributions. Read the relevant Copyright Act provisions.
Confirm whether fonts, stock images, software and other licensed assets can continue to be used or transferred. A successor may need its own license or an alternative. Do not assume every item inside a delivered folder comes with unrestricted rights.
Agree on the handoff evidence.
Ask for the current plan, active work, important decisions and known issues. Include the reasoning behind significant campaign settings and tests so the successor can understand what it inherits.
Use an acceptance checklist. The receiving owner should verify that files open, access works and documentation covers the agreed requirements. Record missing items and the person responsible for resolving them.
Address customer and business data through the contract and applicable requirements. Agree on permitted retention, return or deletion and obtain appropriate confirmation. Preserve records that must be retained for legal or regulatory reasons.
Keep the termination message clear.
Use the following wording as a drafting aid for review, not as a legally sufficient notice for every agreement.
"We are giving notice that we intend to end [specified engagement] in accordance with [applicable agreement and provision]. Our reviewed effective date is [date]. Please confirm receipt through the process required by the agreement.
We would like to agree on a transition plan covering current work, account access, deliverables, data handling and outstanding financial matters. [Client owner] will coordinate the handoff with [agency contact].
Until the transition responsibilities are agreed, please follow the existing authorized scope and obtain approval before making new commitments beyond it."
Have the appropriate adviser verify the wording, date and delivery process before sending. Avoid using a routine notice template to make an unsupported allegation of breach.
Use this exit and handoff plan.
Assign an owner to each item and verify completion.
- [Authorized person] has confirmed the notice requirements, effective date and financial obligations.
- [Owner] will maintain each live activity until [handoff date].
- We have verified administrative access, billing and recovery arrangements for [accounts].
- [Receiving owner] will accept [assets and documentation] against [requirements].
- We have confirmed the rights and licenses needed to use [work and third-party assets].
- We will handle data under [agreement and applicable requirements], with [confirmation process].
- We will remove or revise access through [security process] after [continuity checks].
- We will record unresolved matters and their owners in [location].
